PO Terms and Conditions

1. Scope and Application

These terms and conditions apply to all purchase orders ("Orders") for products and services sold by Index Capsule Fillers ("Company"). Any Order placed with the Company is deemed accepted only upon the Company's written confirmation. In the event of a conflict between any purchase order and these terms, these terms shall control.

2. Acceptance of Orders

The Company reserves the right to accept or reject any Order. Acceptance of an Order is evidenced by the Company's written acknowledgment. All Orders are subject to the Company's credit approval.

3. Payment Terms

Unless otherwise specified in writing:

• Payment is due net thirty (30) days from the date of invoice
• All invoices are payable in U.S. dollars
• A late fee of 1.5% per month will be charged on overdue amounts
• The Company reserves the right to suspend shipments and collect interest on past-due accounts

4. Prices and Taxes

All prices are subject to change without notice. Prices do not include sales, use, or other taxes. Buyer shall be responsible for all applicable taxes, duties, and governmental charges.

5. Shipping and Delivery

Unless otherwise specified, shipping and delivery is FOB Company's facility. Risk of loss and title pass to the Buyer upon delivery to the carrier. The Company is not responsible for delays caused by acts of God, labor disputes, governmental actions, or other circumstances beyond the Company's control.

6. Equipment Installation and Commissioning

Equipment installation and commissioning services are available for an additional fee. The Buyer is responsible for:

• Providing suitable facilities and utilities
• Ensuring proper installation per Company specifications
• Training of Buyer's personnel
• Obtaining all permits and certifications as required

7. Warranty

The Company warrants that equipment will be free from defects in material and workmanship for a period of one (1) year from the date of delivery. This warranty does not cover damage caused by accident, misuse, modification, or failure to follow the Company's instructions.

THE COMPANY MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL LIABILITY UNDER ANY CLAIM SHALL NOT EXCEED THE PRICE PAID FOR THE PRODUCTS OR SERVICES AT ISSUE.

9. Returns and Cancellations

Orders may be canceled only with the Company's written consent. If approved, cancellation prior to shipment will incur a restocking fee of 15%. Orders cannot be canceled after shipment.

10. Intellectual Property

All equipment designs, specifications, and documentation are proprietary to the Company. The Buyer acquires no rights to such intellectual property except the right to use the equipment for its intended purpose.

11. Compliance with Laws

The Buyer is responsible for compliance with all applicable laws, regulations, and standards, including FDA cGMP requirements and OSHA standards.

12. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United States, without regard to its conflict of laws principles.

13. Dispute Resolution

Any disputes arising under these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
